Key Responsibilities

  • Assist the General Counsel (GC) on Group legal -related matters, liaising as necessary with external legal advisors and Group Legal as appropriate
  • Take primary responsibility for legal aspects of the Management Equity Plan, including drafting Leaver Notices and Loan Notes, and overseeing the Cosec work done by the Company Secretary in Hong Kong
  • Assisting GC with contract review and drafting, and oversight of other legal documentation from a group perspective
  • Reviewing and updating legal documentation such as service agreements, advertisements and marketing materials to ensure compliance with local laws and good practice as well as consistency with Group standards
  • Assisting with legal aspects of regional M&A transactions
  • Assisting with legal aspects of litigation and commercial disputes
  • Reviewing and where appropriate  assisting with negotiation and sign off of contracts
  • Assisting Regional Director, South East Asia and regional local functions on legal related matters, including complaints, legal actions, and material correspondence from regulators (as appropriate).
  • Reviewing and re-drafting Service Agreements for all departments, including SLAs between Vistra business units.
  • Review legal aspects of new products and services
  • Assist Group Legal with other legal matters where appropriate

Qualifications and other requirements

The successful candidate should possess the following:

  • Minimum 4 years of relevant, professional post-qualification experience preferably acquired with a firm of international repute or the in-house department of a financial institution
  • Previous experience in managing and motivating staff is highly preferable
  • University degree in law, preferably at Master level, and qualification in a common law jurisdiction
  • Excellent capacity for logical structuring of oral and written communication
  • Ability to work independently and as part of a team
  • Adaptability and attentiveness to interpersonal relations with staff at all levels of the organisation
  • Display a high level of professional integrity and confidentiality
  • Able to work in a multi-faceted environment and sensitive to divisional business issues.
  • Consultancy skills in order to be a trusted adviser to the business on Legal issues.
  • Credible and effective communicator with proven relationships with industry and/or market contacts
  • Methodical with strong analytical skills; ability to interpret and summarize complex information for onward communication to the Executive Committee, the Board and externally as may be required
  • Strong influencing skills with the ability to build persuasive cases based on fact and through the strength of leadership ensure that all relevant stakeholders buy into the Compliance strategy
