This role is located in Jersey, Channel Islands.

Key Responsibilities

  • Working closely with the Group Compliance function ensure Compliance monitoring is adhered to and all regulatory filings are made in a timely manner
  • Develop and maintain company secretarial proformas and templates
  • Support the Group CoSec function in maintaining appropriate records [in respect of in-house entities]
  • Assist in the co-ordination of all company secretarial matters, including Board meetings, production of Board packs, attendance and preparation of minutes for Board meetings
  • Maintenance of registers for corporate service entities and all records detailing contractual relationships
  • Project management of Know-Your-Customer (KYC) and compliance documentation globally for all our operating entities and its bank accounts
  • Ensure continued knowledge of and application of  corporate governance best practices across relevant countries
  • Assist in driving change and improvement in corporate governance
  • Maintain accurate,  up to date (as far as notified) records on View Point and ensure that all appropriate supporting documents are held in ShareFile
  • Liaise with Group CoSec colleagues in HK to obtain required information
  • Maintain records tracking the progress of relevant projects, including information regarding documents which may be outstanding
  • Provide assistance in ad-hoc projects as required

Qualifications and other requirements

  • Ability to work autonomously and independently
  • A working knowledge of Financial Services or Professional Services businesses and expertise in tax considerations
  • Company secretarial subject matter expert
  • Exposure to corporate restructuring and M&A work
  • Excellent attention to detail
  • Self-motivated and goal oriented
  • Excellent organisation skills
  • Ability to document and report progress consistently and in a readily understandable manner
  • Excellent interpersonal and communication skills
  • Minimums 3 years post qualification experience in professional firms, financial services or commercial sectors handling corporate secretarial matters in a complex international structure
  • Familiarity with View point would be an advantage
  • Educated to degree level
  • Professionally qualified – preferably ICSA CSQS level
